BeammWave erhåller avsiktsförklaringar och ingår teckningsförbindelser och garantiavtal för pågående inlösen av TO 4B

BeammWave AB (“BeammWave” eller “Bolaget”) meddelar att Bolaget har erhållit avsiktsförklaringar och ingått avtal om teckningsförbindelser och garantiåtaganden (s.k. "top-down" eller "toppgaranti") i samband med pågående inlösen av teckningsoptioner av serie TO 4B (”Teckningsoptionerna”), vars nyttjandeperiod inleddes den 2 december 2024 och pågår till och med den 16 december 2024. Avsiktsförklaringar och teckningsförbindelser omfattar totalt cirka 37,1 procent av antalet utestående teckningsoptioner och garantiåtaganden uppgår till totalt cirka 14,2 MSEK, motsvarande cirka 50,0 procent av den maximala emissionslikviden i samband med nyttjandet av Teckningsoptionerna.

BeammWave har, i samband med pågående inlösen av Teckningsoptionerna, erhållit avsiktsförklaringar och ingått avtal om teckningsförbindelser med ett antal av Bolagets större befintliga ägare motsvarande cirka 37,1 procent av antalet utestående teckningsoptioner, samt toppgarantier från både befintliga och externa investerare om cirka 14,2 MSEK, motsvarande cirka 50,0 procent av den maximala emissionslikviden i samband med nyttjandet av Teckningsoptionerna.

Garantiåtagandet utgör en s.k. "top-down-garanti" eller "toppgaranti". Garantiåtagandet adderas således till slutlig teckningsnivå för Teckningsoptionerna och ämnar säkerställa den sista delen i teckningen i optionslösen för det fall inte samtliga Teckningsoptioner nyttjas av befintliga innehavare. Om styrelsen i Bolaget beslutar att ta garantiåtagandet i anspråk kommer detta göras genom en riktad emission av aktier till garanten till en teckningskurs motsvarande nyttjandekursen för Teckningsoptionerna. För garantiåtagandet utgår en ersättning motsvarande 10 procent, vilket kan erläggas antingen kontant eller genom nyemitterade aktier i Bolaget. Ingen ersättning utgår för ingångna teckningsförbindelser eller avsiktsförklaringar. Garantiersättningen har fastställts genom förhandling mellan Bolaget och garanterna på armlängds avstånd. Styrelsen bedömer att ersättningen är marknadsmässig. Varken teckningsförbindelser eller garantiåtaganden har säkerställts via förhandstransaktion, bankgaranti eller liknande.

Ökning av antalet aktier och aktiekapital
Vid nyttjande av samtliga 8 888 102 Teckningsoptioner kommer Bolagets aktiekapital att öka med 878 461,078 SEK till 3 078 028,840 SEK genom utgivande av 8 888 102 nya aktier, vilket resulterar i att det totala antalet utestående aktier i Bolaget ökar från 22 254 808 till 31 142 910.

BeammWave receives declarations of intent and enters subscription- and guarantee undertakings for the ongoing redemption of TO 4B

BeammWave AB (“BeammWave” or the “Company”) announces that the Company has received declarations of intent and entered into agreements of subscription- and guarantee undertakings (so-called “top-down” or “top guarantee”) in connection with the ongoing redemption of warrants of series TO 4B (“Warrants”), whose exercise period commenced on December 2, 2024, and will run until December 16, 2024. Declarations of intent and subscription undertakings cover a total of approximately 37.1 percent of the outstanding warrants, and the guarantee undertakings amount to approximately SEK 14.2 million, corresponding to 50.0 percent of the maximum proceeds from the exercise of Warrants.

In connection with the ongoing exercise of Warrants, BeammWave has received declarations of intent and entered into agreements of subscription undertakings with some of the Company’s larger existing shareholders, amounting to approximately 37.1 percent of the outstanding warrants, as well as top guarantees from both existing and external investors totalling approximately SEK 14.2 million, corresponding to 50.0 percent of the maximum proceeds from the exercise of Warrants.

The guarantee undertakings constitutes a so-called "top-down guarantee". The guarantee undertakings are thus added to the final subscription level for the Warrants and are intended to ensure the last part of the exercise in the redemption of warrants in the event that all Warrants are not exercised by existing warrant holders. If the board of the Company decides to utilize the guarantee undertaking, this will be done through a directed issue of shares to the guarantors at a subscription price corresponding to the exercise price of the Warrants. For the guarantee undertaking, a compensation of 10 percent will be paid either in cash or through newly issued shares in the Company. No compensation is provided for the subscription undertakings or declarations of intent. The guarantee compensation has been determined through negotiations between the Company and the guarantors at arm's length. The board considers the compensation to be in line with market terms. Neither subscription undertakings nor guarantee undertakings are secured by bank guarantee, blocked funds, pledges or similar arrangements.

Increase in the number of shares and share capital
Upon full utilization of all 8,888,102 Warrants, the Company's share capital will increase by SEK 878,461.078 to SEK 3,078,028.840 through the issuance of 8,888,102 new shares, resulting in the total number of outstanding shares in the Company increasing from 22,254,808 to 31,142,910.

BeammWave and Alpha Networks enters into an agreement to do a joint pre-study for the next generation Fixed Wireless Access products

The objective is to study the creation of high-performance Customer Premises Equipment (CPE) intended for Fixed Wireless Access (FWA) also in complicated radio environments and extreme weather conditions.

The intention is to leverage BeammWave’s digital beamforming and system expertise together with Alpha Networks product and application knowledge to create a cost efficient and ultra-high performing solution. The solution is expected to make use of the full benefits from digital beamforming including Non-Line of Sight (NLoS) capabilities.

The Fixed Wireless Access connections are expected to grow to 330 million by the end of 2029, a vast majority of these connections will be on 5G allowing for an attractive ISP business case, high data rates and robust connections.

Syftet med samarbetet är att studera möjligheterna att utveckla high-performance Customer Premises Equipment (CPE) för Fixed Wireless Access (FWA), även i komplicerade radiomiljöer och under extrema väderförhållanden.

Målet är att kombinera BeammWaves expertis inom digital beamforming och systemutveckling med Alpha Networks kunskap om produkter och applikationer, för att skapa en kostnadseffektiv och högpresterande lösning. Lösningen förväntas dra full nytta av digital beamforming, inklusive möjligheter för s k Non-Line of Sight (NLoS).

Antalet Fixed Wireless Access-anslutningar förväntas växa till 330 miljoner fram till slutet av 2029. Majoriteten av dessa anslutningar kommer att använda 5G, vilket möjliggör attraktiva affärsmodeller för internetleverantörer, höga datahastigheter och stabila anslutningar.

BeammWave AB (“BeammWave” eller “Bolaget”) emitterade inom ramen för en företrädesemission av units under det andra kvartalet 2024 totalt 8 888 102 teckningsoptioner av serie TO 4B (”Teckningsoptioner”). Nyttjandeperioden för Teckningsoptionerna inleds idag, den 2 december 2024 och pågår till och med den 16 december 2024. En (1) Teckningsoption berättigar innehavaren till teckning av en (1) ny aktie i Bolaget. Teckningskursen per aktie som tecknas genom nyttjande av Teckningsoptionerna har fastställts till 3,20 SEK. Vid nyttjande av samtliga Teckningsoptioner tillförs BeammWave cirka 28,4 MSEK före emissionskostnader. Likviden från inlösen av Teckningsoptionerna avses att användas till att förbereda inför Bolagets tänkta marknadslansering och finansiera en ökad hastighet i produktutvecklingsarbetet, i samarbete med potentiella partners.

Nyttjandet av Teckningsoptionerna i korthet

Nyttjandeperioden för Teckningsoptionerna pågår från och med den 2 december 2024 till och med den 16 december 2024.
En (1) Teckningsoption berättigar innehavaren till teckning av en (1) ny aktie i Bolaget till en teckningskurs om 3,20 SEK per aktie.
Handel med Teckningsoptioner på Nasdaq First North Growth Market pågår till och med den 12 december 2024.
Teckningsoptioner som inte nyttjas för teckning av nya aktier senast den 16 december 2024 förfaller utan värde.
Innehavare av förvaltarregistrerade Teckningsoptioner ska anmäla sin avsikt att nyttja dessa till sin förvaltare, för vidare instruktioner avseende teckning och betalning. Detta bör ske i god tid före den 16 december 2024 då förvaltare har varierande handläggningstider.
Innehavare av direktregistrerade Teckningsoptioner ska anmäla nyttjandet av dessa genom att fylla i och skicka in en särskild anmälningssedel, så att den är emissionsinstitutet Aktieinvest FK AB tillhanda senast den 16 december 2024. The exercise period for BeammWave’s warrants of series TO 4B begins today

on December 2, 2024

BeammWave AB (“BeammWave” or the “Company”) issued a total of 8,888,102 warrants of series TO 4B (“Warrants”) within the framework of a rights issue of units during the second quarter of 2024. The exercise period for the Warrants commences today, on December 2, 2024, and continues until December 16, 2024. One (1) Warrant entitles the holder to subscribe for one (1) new share in the Company. The subscription price per share subscribed for through the exercise of Warrants has been set at SEK 3.20. Upon full utilization of all Warrants, BeammWave will receive approximately SEK 28.4 million before issuance costs. The proceeds from the exercise of Warrants are intended to be used to prepare for the Company's planned market launch and to finance an accelerated pace of product development, in collaboration with potential partners.

Warrant exercise in brief

The exercise period for the Warrants runs from December 2, 2024, to December 16, 2024.
One (1) Warrant entitles the holder to subscribe for one (1) new share in the Company at a subscription price of SEK 3.20 per share.
Trading of Warrants on Nasdaq First North Growth Market takes place until December 12, 2024.
Warrants that are not exercised for subscription of new shares by December 16, 2024, expire without value.
Holders of Warrants who have their holdings nominee-registered (holdings in securities custody services, investment savings accounts (ISK) or endowment insurances) must notify the exercise of Warrants by contacting their respective nominee and follow the nominee's instructions regarding subscription and payment. This should take place well before December 16, 2024, as different nominees have different processing times.
Holders of Warrants who have their holdings directly registered (holdings on a VP account) must notify the exercise of Warrants by filling in and submitting an application form for the exercise, so that the application form is received by the issuing agent, Aktieinvest FK AB, no later than December 16, 2024. The application form is available on the Company's, Aktieinvest FK AB's, and Redeye AB's respective websites (www.beammwave.com, www.aktieinvest.se, www.redeye.se).
Upon full utilization of all Warrants, BeammWave will receive approximately SEK 28.4 million before issuance costs.
The subscription price of SEK 3.20 per new share has been determined in accordance with the terms of the Warrants, under which the subscription price per new share shall equal seventy (70) percent of the volume-weighted average price (VWAP) of the Company's share on Nasdaq First North Growth Market during the period November 18, 2024, up to and including November 29, 2024, however, not less than SEK 3.0 and not more than SEK 6.0 per share. Den ej namngivna kunden har lagt en beställning på en Advanced Development Platform (ADP1) från BeammWave AB för att utvärdera BeammWaves unika och patenterade koncept och produkter inom digital beamforming.

BeammWave, experter på högfrekventa kommunikationslösningar, har idag fått en order bestående av en Advanced Development Platform och en utvärderingslicens. Det initiala ordervärdet är 150 000 USD. Kunden kommer, med stöd av BeammWave, att genomföra en utvärdering för att förstå fördelarna med BeammWaves digitala lösning. Projektet omfattar ytterligare faser som kommer att specificeras efter avslutad utvärdering.

Den asiatiska kunden, en global ledare inom elektronik med en bred portfölj av elektroniska komponenter och lösningar, förser den globala elektronikindustrin och en mängd olika applikationer med sina produkter. Företaget har en omsättning som överstiger 10 miljarder USD och mer än 70 000 anställda.

BeammWave’s second customer – one of the leaders in the mmWave industry

The undisclosed customer has placed an order on the Advanced Development Platform (ADP1) from BeammWave AB, to evaluate BeammWave's unique and patented digital beamforming concept and products.

BeammWave, experts in high frequency communication solutions, today signed an evaluation license agreement including an Advanced Development Platform with the customer. The initial order value is USD 150,000. The customer will, with the support of BeammWave, perform an evaluation to understand the benefits of BeammWave’s digital approach. The project includes additional phases that will be detailed once the evaluation is concluded.

The Asian customer is a global electronics leader with a broad portfolio of electronic components and solutions serving the global electronics industry and a wide variety of applications. The company has a turnover exceeding USD 10 billion and more than 70,000 employees.

Fokus på kunder, produkt och leverans

BeammWave ABs delårsrapport för perioden januari-september 2024, finns nu tillgänglig på Bolagets hemsida beammwave.com/investors/finansiella-rapporter/ samt bifogad i detta pressmeddelande.

Den positiva syn som vi tidigare uttryckt angående nya kunder kvarstår och har förstärkts. Alla de diskussioner vi har haft under flera års tid fortsätter, säger Stefan Svedberg, vd på BeammWave.

BeammWave och Saab beviljas 4,1 miljoner kronor i Vinnova-bidrag

Projektet, från utlysningen ”Samverkansprojekt för civil-militära synergier”, är ett gemensamt projekt tillsammans med Saab. Den totala budgeten för projektet är 5,6 miljoner kronor, varav Vinnova-bidraget är på totalt 4,1 miljoner kronor och BeammWaves andel av bidraget är 2,3 miljoner kronor.

Projektidén är att kombinera Saabs världsledande expertis inom ett flertal militära applikationsområden med BeammWaves unika kunnande inom digital beamforming för telekom- och konsumentprodukter. Syftet med detta är att undersöka möjligheterna att forma nya kraftfulla och extremt kostnads- och energieffektiva produkter med en 100% svensk design och en tillverkning placerad inom EU.

Projektet löper från november 2024 och avslutas i november 2025.

"Detta ger möjligheten för oss att hitta nya tillämpningsområden för vår världsunika produkt och det är fantastiskt roligt att kunna göra detta med ett företag som Saab", säger Stefan Svedberg, vd på BeammWave.

“Detta projekt ger ett stort lärande i båda riktningarna och det kommer att ge oss kunskap som inte bara är tillämpbara för militära ändamål utan även kommer vår 5G-portfölj till godo", säger Per-Olof Brandt, medgrundare och CTO på BeammWave.

BeammWave and Saab awarded SEK 4.1M in an innovation grant from Vinnova

The project, from the call "Collaboration project for civil-military synergies", is a joint project together with Saab. The total budget for the project is SEK 5.6 million, of which the Vinnova grant has a total of SEK 4.1 million and BeammWave's share of the grant is SEK 2.3 million.

The project idea is to combine Saab's world-leading know-how in several military application areas with BeammWave's unique know-how in digital beamforming for telecom and consumer products. The purpose of this is to investigate the possibilities of creating new powerful and extremely cost- and energy-efficient products with a 100% Swedish design and manufacturing in the European Union.

The project runs from November 2024 till November 2025.

"This gives us the opportunity to find new areas of application for our world-unique product and it's great fun to be able to do this with a company like Saab," says Stefan Svedberg, CEO of BeammWave.

"This project provides great learning in both directions, and it will give us knowledge that is not only applicable for military purposes but will also benefit our 5G-portfolio," says Per-Olof Brandt, co-founder and CTO at BeammWave.
